Livent and Allkem to merge as Arcadium Lithium, creating $10.6 billion entity, closing January 4, 2024.

Livent and Allkem are set to complete a merger of equals, valuing the combined entity at $10.6bn. The merged entity will be known as Arcadium Lithium, with Allkel and Livent shareholders expected to hold ownership stakes of approximately 56% and 44%, respectively. The company is set to operate under the name, with a primary listing on the New York Stock Exchange and will maintain a foreign exempt listing on Allkel through the issuance of chess depositary interests (CDIs) to AllkeM shareholders. The Federal Court of Australia has also granted approval to the proposed scheme of arrangement allowing Arcadium lithiumium to acquire 100% of the shares in Allkel. The merger is expected to close on 4 January 2024.
